A newly created Microsoft subsidiary (‘Vault’) will be merged with and into ZeniMax.

Vault will publish Zenimax games on PS5, I suppose.
I wouldn't use Vault as a smoking gun.

Believe Vault is being used as a legal means to create a subsidiary in which Microsoft will then have 100% controlling stake.

(Believe I read this was a requirement for EU, etc.). Think this was done as well in a recent acquisition (Private Division?/ Outer Worlds).

Private Division is just a publisher under Take Two. But yeah, Vault would be dissolved post merger.
 
Subsidiary merger. Done for tax and contractual continuity purposes. Zenimax will exist as a subsidiary of MS. Similar to how CNN/HBO both exist under Time Warner. Stands alongside their Xbox division. Vault only exists for the duration of the acquisition. Really standard M&A stuff.

This isn't some code for "PlayStation games". Xbox Game Studios can make games for PS if they desire. Up to Phil as to whether games release on PS or not.

Short term Zenimax doesn't disappear they are still their own publisher just owned by Xbox. Long term I think the plan will be to merge the operations.
 
Am I the only one who doesnt see this whole Bethesda and Xbox merger working out well? Microsoft isnt exactly known for taking good care of studios they had in the past and their recent out put of studios doesnt seem to be going well either in terms of quality.

this is something I have been wondering. Either they never release a game, game gets cancelled, or it is some weird tiny project that fails to deliver ie rare and sea of thieves, or that weird honey I shrunk the kids game from Obsidian. They can buy as many studios as they want but they need to release something. I want games dammit.
