Adobe to buy Macromedia for $3.4 billion!!!

Adobe Systems has announced today the signing of the acquiring contract for Macromedia. The transaction consists of a stock exchange, whose value is appraised at 3.4 billion dollars.

The contract approved by both companies’ boards of directors stipulates Macromedia stockholders will receive
0.69 Adobe stocks in exchange of 1 Macromedia stock. In October 2005, when the transaction is concluded, Macromedia stockholders will own 18% of the newly formed company.

The two companies consider that by combining product portfolios, they will be able to provide clients a new set of programs, allowing the new company to penetrate new markets.
Integration plans are already being worked on, and as soon as the details of the new programs will be available, they will be posted on the website

"The clients require integrated software solutions which allow them to create, manage and distribute a wide range of content and applications – from documents and images to audio and video content”, said Bruce Chizen, Chief Executive Officer Adobe Systems.

In the new company resulted after Macromedia’s acquiring, Chizen will still be chief executive officer and Shantanu Narayen will remain president and chief operating officer. Stephen Elop, president and chief executive officer of Macromedia, will become President of worldwide field operations for Adobe, and Murray Demo will remain Vice president and chief financial officer.


Today, the companies will hold a conference for investors and financial analysts and more details will be provided.

There are no words. i could wet myself at the thought of what this means in terms of integration, but in terms of pricing and future innovation, AOI AM CRY.

Photoshop and Flash?

I can see Flash, cause I agree it's overused and can make for some very poor designs/layouts when it would have been fine without, but Photoshop?

I would say document viewer or reader or "I take too much damn memory" pdf viewer. That damn thing is used way too much, and is a slow piece of crap that I wish never existed.

Adobe makes some nice and stable apps on the Mac, something Macromedia has a problem with, so I hope at least Dreamweaver and Flash get's a stable Mac version and a fast Flash player. About inovation ... maybe Adobe can learn something from the Macromedia guys, it would be nice to see inovative and stable products.

PDFs, when properly created/distilled, retain the formatting that the document creator(s) intended and at a fairly small size. i'd rather have one format that's fairly open and consistent than having HTML pages, Excel spreadsheets, and Word documents to open.

You can speed up Reader by removing some of the plugins it loads by default. i haven't tried it myself, my uncle was showing me on one of his computers.

On a related note, Reader 7.0 on Linux loads ridiculously fast. i've seen it load in about a second on a PC similar to mine, which takes about eight seconds.

Flash in general needs a cleanup. They need to redo the interface so that you dont have so many moveable panels. They all aren't necessary, and I hope Adobe redesigns the interface to fit the Adobe standard.

It will be interesting to see which of the many competing products/technology survive this merger because these companies have a fair amount of portfolio overlap.

I don't think so because they just killed off GoLive, perhaps related to the takeover.

PDF is a decent standard, but the fact that the plug-in reader takes so long to start-up really makes it painful to use sometimes. It doesn't help that stuff gets rendered like ass too, and when you have to zoom in to make the text readable, that's a couple of clicks too many. Most companies should just stick to HTML for that kind of stuff, especially with CSS being so well supported now.

When I first read the flash/aftereffects post, I was a bit confused--vector and raster based animation are inherently different beasts, and I don't even really consider flash an animation suite (at all), but now that I think of it, it might be nice to see some of flash's ease of use in a motion production suite.
 
This is excellent news. Can't wait to see how Adobe combines PDF and Flash. It will be great for designers and great for users. Also, I doubt Dreamweaver production will be stopped, since Dreamweaver is far more popular than GoLive. I wouldn't be surprised if Adobe scraps GoLive (since it is pretty crappy).
 
Dreamweaver essentially accounts for 95% of the market, where as GoLive is 5%. I'm not including FrontPage because no one except your grandmother or your office secretary uses it.

GoLive will be dead in a year. Adobe will keep the Dreamweaver name just because it sounds better. Give Dreamweaver the standard Adobe interface, keep the dynamic content abilities and superior Word importing, add some of GoLive's unique features (like importing InDesign docs), and bam... you've got the ultimate package.
 
PDF is the standard when sending documents out, but PostScript files are the standard to Computer to Print. PDFs are really just compressed PostScript files anyway.

Killing Dreamweaver would be a mistake, they won't do it. But now, I only shed a tear for the hot chicks at Macromedia who stop by my bar, as they may lose their jobs...

I would think they'd be more worried about Apple's recent tendency to make their platform a designer's dream with no 3rd party software needed. MS being a force in any of these markets is a long way off.

It's called a joke.

And this is in response to Longhorn. Adobe knows what Microsoft is doing, and it won't rest on its riches and let them win. Making a Flash/PDF combination that's multiplatform will be far more popular and more useful than Avalon. Can't wait to see what Adobe does.
