The first was was really addicting for the first 5 hours, but the gameplay mechanics get stale after you've flanked the same 3 guys over and over without taking a hit.

I liked the game, it just needed more meat.

Agreed. I liked BIA's approach to cover a good deal more. FSW's “cannot be hit” method removed a lot of potential intensity the game and made it feel more like a puzzle game than a combat sim.
 
is it or does the first one look better? is it possible it was made on 360 then downported to xbox?

I know many recent releases have the same affect on me (Halo 2 being a prime example). I think what happens is that they push the hardware a little to far and end up sacrificing image quality in favor of more effects.
