Is my motherboard actually dead, or could it be something else?

Got home on Monday, tried to boot my system, nothing posted to the monitor at all, no beeps either, just nothing. Eventually, I tried another power supply from a friend, same thing.

When I boot:

a) I can hear the hard drives spinning up
b) The access light on my top optical drive stays lit, doesn't blink, but neither drive will respond to an eject request
c) The fans spin
d) My Corsair RAM, which has LEDs, only one of the two sticks will light, and only two lights adjacent to each other in the middle will come up

I disconnected all internal drives, both storage, and optical, and C and D remain the same. Also tried booting with no RAM, one stick (of the two, and then swapping which one I used), and still no beeps, and nothing posting to the monitor.

So... what am I looking at here? Dead motherboard, or dead CPU? And why would either would just simply die out of the blue? Something else perhaps?

Thanks in advance.
