And 48 pages deep, people still compare purchasing two of the largest publishers in the world, with one being the very largest, all with 3rd party games that have been third party for decades and decades... to an independent developer that currently remains independent.

I think Stadia shutting their doors about a week after their confidence PR with all of this, made them sweat a bit. Since they were leveraging on Stadia/Amazon initially as the main cloud gaming service competitors for the purchase bonanza.
I don't think that comes as a surprised by anyone. long list of google products shelved. Google could have put a bid in, or out bid ZMS if they wanted. They didn't. Them shutting down in the manner they did hurts the game industry more then competitors buying publishers.

It doesn't matter if its an independent developer. If its over 100 million pounds, it will be investigated.

I don't think the Stadia shutting down news could have come at a worse time. CMA is directly referencing cloud gaming more than they are consoles. There has apparently some increased focus in the digital realm for the CMA. I had not realized it but the CMA ordered Facebook to sell Giphy post-acquisition. That is currently under appeal. If CMA is willing to retroactively break up a deal worth mere millions then this may prove to be the hardest battlefield to win for Microsoft.

There are two issues to consider:
  1. Game Pass on PlayStation 5 would cut into Sony's game sales for third-party publishers who have games on Game Pass.
    • Most people who have the option of paying for the game or getting it for free are going to get the free route. Why buy a game on the PlayStation store when you can play it on Game Pass for free? I mean, there's the cost of the Game Pass subscription, obviously. But you get my meaning.
  2. Game pass on PlayStation 5 would negate micro-transaction profit for Sony if the micro-transaction game is on Game Pass.
    • Game Pass on PlayStation would almost certainly be a streaming-only option. Xbox games cannot be natively played on a PlayStation 5, and this is almost certainly how Game Pass would operate because it would be the easiest and cheapest way to implement the Game Pass service.
    • Assuming the above is true, this means that everything done via Game Pass is routing through Microsoft's servers, not PlayStation's. This means that Sony wouldn't see a dime from micro-transactions for Game Pass games.
The only way to mitigate the first issue is for Microsoft to agree to pay royalties to Sony for every unique user that plays a game through Game Pass that is available on the PlayStation store, and that's not going to happen because that would not be cost effective.

The only way to mitigate the second issue would be for Microsoft to agree to pay the 30% fee to Sony for micro-transactions made in Game Pass games on PlayStation consoles. The problem is that, even if Microsoft did agree to this, Sony would have to take Microsoft at their word regarding how much was done in micro-transactions and how much Sony is owed. This is because Sony doesn't have a way to see what micro-transactions were done. If they did, they could have just assessed the fee themselves. The only alternative to this would be Microsoft agreeing to share their financials to Sony, and there is absolutely no way they're going to agree to that. No competitor shares their books. That's pretty much only done with mergers and acquisitions.

The second issue mentioned above is exactly what Epic Games Store did to Apple with Fortnite. They routed payments through their own network instead of Apple's so that Apple couldn't get their 30% cut. Game Pass on PlayStation would be a huge loss in money for Sony. There is zero upside, and PlayStation would very likely fail.

So we can all agree that MS offer was most likely in bad faith and their argument to the CMA is disingenuous.

After all, GP isn't on any other platform/store (EGS, Steam, GOG, NSO, PSN, etc), other than their own.

They seem much more interested in growing their walled garden than to expand gaming everywhere, like they say they are.

If anything, they are providing arguments to the regulators against the acquisition.

I'll be "encouraged" if I see Blizzard reverting back to something close to what they once were rather than this shit they became with Activision. Pretty much the only potential positive I see in all this for myself as I can't remember the last time I played an Activision game.

I don't think Microsoft are as precious about it as you think they are. You see MS Office on Android and on Mac. Microsoft are as happy selling you their software and services even if you want to use them within a competitors eco-system. I guess they think that they will try to convince you into their platform but if they can't convince you then they will bring their products to the one that you use as well.

They would have to be developing and publishing all their games on other platforms (PS5/Nintendo/Luna/Stadia oops) for that comparison to be apt. Instead, they are buying the largest publishers and yanking those games to their ecosystem for the king of the cloud push.

They are hoping to push the entire gaming market into the cloud, where they will be the king of the hill with all the moves they are trying to make. They literally admitted it.

They have been doing this for years, it's why I find it hard to ever warm towards Microsoft in general. I remember when they used to scaremonger about the cloud because all they had was shitty native Office apps and were scared of everyone going off to use Google Docs, Sheets etc.

Yes, but Microsoft doesn't have to share any revenue with Apple or Google for Office. I have Microsoft 365 and I pay direct to Microsoft and have Office on all my devices including my MacBook . These are open systems. PlayStation is closed as is Xbox. Two entirely different business models.

Factually, every Xbox game could be on PlayStation right now if Microsoft wanted them to be. So yeah, I think they are bit more precious about it than you think.

They’re taking this public & accused the CMA of using Sony’s talking points, while saying they’re doing this “without conducting the appropriate amount of critical review” when there’s a phase 2 investigation going on. Looks like they’re ready for a fight, Hoeg said that from a corporate lawyer perspective, it’s crazy they would say something like this to a regulator while there’s an active review going on (timestamped).

Yes it clearly does. As was shown with developers & studios not being informed early enough, suddenly needing to find an alternate source or some publishing method. Devs finding out the same time as everyone else is a horrible thing for google to do, and end users freaking out about saved data being lost without any way to save it. Abrupt exits do far more damage to the game industry.

Then why are you complaining with SonyToo? It's going to take its course.

Wouldn't surprise me if they did that in the future. According to Microsoft, the Xbox hardware has never been profitable.

I think the deal will hurt the industry but only because Sony is too small to compete with Microsoft and frankly never stood a chance. they are a small player that should probably spin off their gaming division and sell to Apple because right now they can’t compete with Microsoft. If Ms can’t buy big publishers they will go for smaller pubs like square enix, Ubisoft, and capcom. All are under $10 billion.

What happens then? Instead of losing one game, Sony loses 15. All resident evil games, street fighter, final fantasy, ass creed, far cry, and whatever trash Ubisoft is making. That isn’t good for PlayStation gamers either.

I don’t like the deal because i hate Microsofts approach to gaming but i just don’t see how it gets blocked in a capitalist system. Its a free market. They have the money, they should be able to buy it. If apple enters and buys Activision they would be allowed to. For that reason, so should Microsoft.

Lastly, Sony has no one but themselves to blame. They spent millions over the last ten years moneyhattimg third party exclusives, cod dlc, modern warfare reboot exclusivity, fucking guns in destiny. Why is final fantasy even exclusive? Its a third party game available on PC. Why block Xbox? Its chicken coming home to roost for Sony and i for one wont shed a tear for a company that paid to keep content off of another console. I love Sony when they give small studios like housemarque a big budget to go to the next level but deathloop and ghostwrite tokyo were made by a massive publisher that was eventually sold for $8 billion. They didn’t need the money.

I agree that The deal will probably hurt the industry but thats because Microsoft sucks making video games. A future where ms is the only big player alive will probably suck. They make all the wrong choices but it’s not like Sony wasn’t following them with cross gen, GaaS, cloud and subscription trends. Doesnt matter If is Microsoft or Sony or Apple or nvidia running the show, the good old days of video games pushing boundaries instead of mtx are long gone.

MSFT having the money doesn't quite carry in the UK if the regulator doesn't like the deal, and I still think it will get blocked here, because too many industry vets will see what the likes of you and I do about the deal being bad for the industry - and the UK inland revenue. People saying MSFT will attempt legal action against a UK regulator in that scenario probably underestimate how regulation in the UK works and the potential regulatory focus MSFT UK activities might gain by picking such a fight.

If the CMA block the deal MSFT would have to have way too much riding on the deal for them to appeal the decision in the UK courts IMO,

As for PlayStation being its own worst enemy, IIRC it was the warchest at the start of the 360 gen used by MSFT that made CoD differentiation a weapon and a raft of other games like keeping Gears of PS3, and their default "better than or equal" clause that still impacted AC when it hit PS4 and X1 at the X1 favoured 900p. PlayStation using the PS4 market position to compete against a financially active multi-trillion-dollar company competitor - against gamepass clauses too -is hardly just of their making IMO. PlayStation only get those favoured deals because they consistently deliver gamers to buy the games (+100M).

You have to wonder if the differentiation issue is the reason Minecraft RT edition didn't make it to the XsX after being developed, because it shows MSFT leveraging MC with an exclusive feature to Windows Store and the Xbox, despite the PS5 being the obvious console to deliver on that, when PS5 is already way ahead of Xbox RT offerings this gen in first party games.

Yeah, that's exactly my opinion, and I even think the timelines line up for MSFT working out that the optics would show exactly what PlayStation has already alluded to them doing in the future with CoD, post-acquisition.

No, I think this is very different for the UK, much like ARM because of the importance of games development to universities and the economy.

No one makes certain statements. Even Bungie have not made it certain that they will continue making their future games for the Xbox platform, and yet a lot of people here seem to use their vague wordings in the acquisition blog as some kind of iron clad truth that they said that.

It's true tho, the competition appeal tribunal also raised the same point that the CMA is more concerned in siding with third parties in the recent Meta/Giphy lawsuits.

MS are bringing up the same talking points again so in case this goes to the courts, the same appeals will be valid here.

MS also went and paid Rockstar $50 million for two GTA4 DLCs.

Third party exclusives have existed since forever. Nintendo bought the RE series for a generation. MS bought Bungie and cancelled Halo on PC. Bought Bioshock, Mass Effect and Gears Timed Exclusivity. It was normal. The timed DLC bs is what was started by MS and adopted by Sony, and thats how we got fucking exclusive guns in Destiny.
 
Due to all the drama surrounding this acquisition (fuss from Sony plus the fact that they acquired Bethesda right before this), I imagine it's gonna me mighty hard for MS to do this again
anytime soon....

All due respect but I don't think you're seeing the bigger picture. Microsoft confirmed that they've asked PlayStation to add Game Pass to their eco system. What makes you think Microsoft haven't asked the same of EGS, Steam, GOG, NSO etc etc etc

COD being exclusive to Game Pass rewrites the script. Remember that Microsoft was involved in taking Apple to court over access to their store front. You should re-read the documents and arguments Microsoft made during that action.

As harsh as this sounds... XBOX as a brand simply doesn't have reach or momentum outside of the US. So they're trying to piggyback and make money off other ecosystems. I mean, here in the UK they've been giving away GP for almost 5 years. While "Greedy" Sony hasn't given away a free triangle button sticker.

Not right. The tribunal didn't say CMA was more concerned about siding with third parties. It said Meta had a right to know the full case against them from information provided from third parties. The tribunal upheld everything else about CMA's decision.

"Notably, the appeals tribunal held up every other aspect of the CMA’s ruling — namely, that the CMA acted within its powers and did not make an unreasonable evaluation and subsequent remedy in this case, where it deemed that competition in social media would be harmfully reduced due to the acquisition."


Whether or not CMA is withholding pertinent information from Microsoft remains to be seen, but somehow I doubt they would make the same mistake twice.

its funny how microsofts contradictory statements over the years are coming back to bite them. they say one thing and do another. or say the complete opposite later on. anybody with a brain can see what they are trying to do here. its insulting how stupid they think people are. how you gonna talk about choices but remove future games off a platform? thats less choice, not more. i can respect if they were straight up and clear from the start, but feeding us a load of bullshit lies aint cool and should be called out.

both companies Sony and Microsoft have a history of this so you can't blame one without the other

No one makes certain statements. Even Bungie have not made it certain that they will continue making their future games for the Xbox platform, and yet a lot of people here seem to use their vague wordings in the acquisition blog as some kind of iron clad truth that they said that.
Damn those vague words such as staying multiplatform and not killing the communities that have already built up.

But I guess when it suits the argument changes from bungie beat Sony at 4d chess to stay multiplatform to its all vague and no one said they were staying on all platforms.

Phils double speak got you twisted like a pretzel. Not every company is so openly duplicitous as Microsoft, some actually speak the truth.

The veil has slipped, Microsoft has revealed the master plan.

Gamepass on everything or bust.

If Sony said yes between the Bethesda purchase and this hot mess, Ms wouldn't have brought or tried to at any rate, Activision in the first place.

This is additional leverage to try and force Sony to say yes.

Thankfully they blocked it since Facebook (like Apple) were already censoring their Giffy names/searches so certain gifs were not allowed to show up.

And if there is ever a time where Sony is under this process, they will undergo the same scrutiny and evaluation. Right now, Sony is not the one purchasing the largest third party publisher in the world.

but they are making quotes and also lobbying the CMA also to block this deal so standards must be upheld when looking into both companies motives
