Yeh they want October dates penciled in just in case things "go south" with the CMA in the meantime.

Basically they now have 2 months to come to an agreement, if not the CAT appeal resumes. Personally I don't think it comes to that, this gets done and dusted within weeks.

Agreed - If they're letting them close the deal as of today/tomorrow (unless MS / ABK amend the agreement to address the $3b penalty) - I'd expect that any loose ends would be finalized within a few weeks or a month at most..
 
I hate be that guy but the CMA was never this immovable force that some of you guys wanted it to be.

Same vibes as that other guy who popped in earlier to talk about "politics".

By "politics" they mean corruption, the very same corruption that they were on their knees begging to happen when the CMA blocked the deal. But apparently now that things have unfolded how they have people shouldn't talk about there being any possibility of corruption. Strange that.

maybe you can correct me. my understanding was that MS had the opportunity to suggest remedies during the trial (or hearings or whatever), which the CMA rejected. they knew the whole time that the CMA would not agree to their remedies, and rather than make new ones, they just kind of did nothing. then rather than appealing the CMA decision, they had backdoor negotiations with the CMA for new remedies that we don't know about yet?
People didn't expect the CMA to block it because of cloud and it was a surprise to everyone and anyone that say other wise and claimed they knew that cloud would be the primary issue is lying through their teeth. The CMA was stuck stubornly with tat decesion all the way until the FTC lost. MS made remedies with Nvidia and two other cloud based companies that the CMA swatted away as no enough, so people can't claim MS wasn't playing ball its that the CMA was irrational and grandstating in hopes the FTC wins. Had the FTC won teh CMA would not have changed their stance.

Either they got lobbied hard or the cloud stuff wasn't going to stand up in court

Crazy fishy IMO. CMA literally bending over backwards to try and meet the MS deadline on a deal they haven't even been given yet.

I thought the head legal guy at the CMA has to produce the evidence for reasoning to consider the CMA extension "material change" or "special reason" by midday Thursday for the judge to decide on the adjournment decision.

I only heard the judge say 1 working day isn't right and mid-day Thursday is the deadline.

Yep they did exactly that. Then when the judge said that's too tight and he's proposing Thursday and the CMA guy immediately looked over to the Microsoft/Activision side of the courtroom.

Short summary for people that don't live in this thread please.

Basically, Judge wasn't happy with the stunt CMA is trying to pull. Because the deal is about to expire and there's no indication of an extension the judge has CONDITIONALLY granted an adjournment. The adjournment is in regards to the appeal Microsoft and CMA were engaged in. The CMA was defending the deal in this hearing and both Microsoft and CMA want the adjournment. Given that the deal expires tomorrow, the judge has decided to get out of the way so the deal can close, sugesting that Microsoft is given assurances that the work will be done to provide evidence for the conditions the judge set forth to be met. The judge finally gave the parties until Thursday of this week to provide said evidence, but I believe the deal can close ahead of this and they'll just work backwards to satisfy the judge.

Here's what I think is going on (keep in mind, I am NOT a legal expert in any way):

MS presented an informal offer to the CMA sometime last week or maybe earlier that the CMA liked, and now the CMA are willing to go through the review process for that offer when it's presented in a legally-binding document by Microsoft. So long as Microsoft do that, they basically have a guarantee from the CMA that they will approve the deal, and MS's people have probably parlayed with ABK people so that ABK don't walk after the 18th, and the $3 billion is either waived or paid back to MS once the deal is completed, at the current $69 billion price (because I think if ABK ask for significantly more, MS would actually walk).

So basically, Microsoft and ABK I guess kind of "soft-close" in the UK on the 18th while officially closing the deal in the other markets where they can already do so (which includes America and European countries). And then they'll officially close in the UK sometime late August. Until then I guess in the UK, ABK will have to be kept more separate in some way, but I don't know how that would be done.

Yeah but to be fair to you guys the CMA had been dealing with far smaller deals and nothing like this. Which meant the whole world is watching and after the FTC had failed (the CMA had aligned themselves very closely to them) they had no where to go.

When the EU gave the deal the thumbs up the CMA were furious as it massively diminished their ruling, but the FTC was still there. After they fell and Microsoft clearly caved somewhat (by how much we'll soon find out) it's best for the UK to comply but still look strong as being the last man standing.
