Ctrl+Alt+Deceive: All The Dirt, Info, Lies, and LOLs We Found During FTC vs. Microsoft

Heisenberg007

Gold Journalism
Here are all the dirt, information, lies, and LOLs we found during the FTC hearing case.

Notes:
  • That was a lot of work; I'd appreciate your support.
  • Please keep it civil.
  • This thread is very important because I wanted to compile all the information in one place for posterity and preservation of information.
  • Please let me know if I missed any big stuff; I'll add it.

SONY

#1 — Jim Ryan doesn’t think Starfield’s exclusivity is anti-competitive

  • COD represents $800 million of PlayStation revenue in just the United States.
  • PS players who play COD are responsible for $15.9 billion of annual PS revenue.

#6 — Jim Ryan initially believed that MS’s ABK purchase wasn’t about PlayStation exclusivity

Jim Ryan was “pretty sure” that COD would remain multiplatform.

0RUivCS78qq7MQXNYUWlNV1yIF6Qq0GBO0cj9GjejPLWxMFIpApG-wfE5gEc1Xwhacv4-TE3GtSjRr7ncjCUN3x6A-pn9l21hNArEEZcA2xlqn6q5ZWLbV7AuEY7pOlDS12PC5TMyH0qpf-0hpFbFCI

Jim Ryan said that he initially believed that Microsoft’s ABK purchase wasn’t about PlayStation exclusivity and that an agreement could be reached.

#7 — Jim Ryan said, “Publishers don’t like Game Pass.” Bobby Kottick agreed and also called Game Pass “value destructive.”

0auboXflwEuK69siN9JbqEOjeaOIOnV-s24UyTA3zvTdMqryG2EmBryKe-EpzlJWB8zySpoC8aU1KHBgp6aCTLUWOTArRK9il-2fGjqDfANbQDoJedoalkouW76wQy7jPe5w2hwUJGfCMn8IIKMT7yI

Kottick said the same thing and used the same phrase, “value destructive,” when describing Game Pass.

#8 — Sony’s internal data reveals that only 20% of PS5 owners own an Xbox in the US

-SeRFW3lYhTBqm_TNkRS5BdeIJgf2CKNW5DfIpyiwydH8-vyn3CYGqYYKwBDFIhL0N-3gRBbSrSRsZVBKChddxTgdiguDxk2TR9_LycEvIBRhHNif5B8zMV0o9VLqSzM1uc6u6jhLLj1W29CpJv3OnY

#10 — Sony reveals that Microsoft often blocks PS+ releases with Game Pass deals

RaA3Mxw.jpg

This is particularly interesting because Microsoft has accused Sony of blocking Game Pass deals when filing papers to Brazilian regulatory authorities.

5uY6Csu.jpg

Turns out Microsoft was also doing it all along.

Moreover, it was also revealed that Sony also bid for both Valheim and Immortality to bring them on PS Plus. However, Sony lost both bids to Microsoft. As a result, both games exclusively launched on Xbox and Game Pass and did not join PS Plus.

MICROSOFT

#11 — Matt Booty’s internal email showed a will to “spend Sony out of business.”

8QUueAsvalQmIxNbe2GOJCkTXmWVpO6vCG1wRsELy2BrzXgdBiLXZUWcVAvw8dfrz1V7FzfgtEEAMelHGEb5ABjhEYXMaYFLtzdx_UWtYgmRR5ITcJRMsDEmF9vqcDT2XS1cBaEibvCGSaX5A6iD2mc

The email was sent in 2019. Microsoft disregarded that email as a “thought experiment.” However, since that email was sent, Microsoft has spent $80 billion dollars on acquiring multiplatform game developers and publishers.

He also discussed having a “moat of content” in the same email above, referring to Microsoft’s walled-garden approach.

#12 — Microsoft made a list of 100+ developers and publishers for potential purchases

Including SquareEnix, Sega, FromSoftware, CDPR, Ubisoft, Nintendo, and Sony!

gXVtblnxsHlpi4QUzIpoY4t5htFJiUDZmQJwrMkIrO_RbooDrMNKGsdekXqHYr3W6vlVwoefmBwvg3qXLExKaMV1N8AttMyJdMq9XP95eESNYZALVHZIDJCBCkSp9aIrdpSeNO0NNNJnpwYg2rnoYeE

#13 — Microsoft narrowed down potential purchases to 17 targets

QEaffBt3Fw6yuZXx8dSlHxpj84Y5rcuvgkwdDvWopDRmd1F8oSe0AJmGZhokUAK4Il2lMfxgi54neazsVypzt2F0cZgqwm2tq_fFIQUGbK6hUWHIIylv0v5gGSz8vC8AaWOPdS51gbBw0MhaNIppzY0

Including HouseMarque, Bungie, and Sega.

In 2021, HouseMarque mentioned that they were approached by “the usual suspects” from China, Europe, and America.

This implies that these 17 targets were officially approached for an acquisition.

#14 — Phil Spencer incorrectly denied reports of Japanese acquisitions

In November 2021, a report leaked Microsoft’s attempt to acquire a Japanese publisher. Phil Spencer denied those reports when they were true.

#15 — A Matt Booty email revealed that Microsoft did not want to put their games on other Cloud gaming services

“No Effin’ Way,” said Matt Booty.

vOLmninaBKNQg7DNMBiFeBZGPd-r-jbS_zy2WqW-UFvXRwXO8CnsOpR0eMIL3LgeDUlyuYIWELLB7LIK7TmUltYGKy7tOIGD1FZAZb8nI-XR14ywvNeHX0Gpf2zCcuiFbTpOA6-y5TjQWGV6TpKYk5Y

The email also shows Phil Spencer sending Nvidia an official notice to take down Xbox games.

Later, when regulators started cracking down on Activision’s acquisition, Microsoft offered deals to 5 cloud services.

It’s important to note that the CMA disregarded these deals (and blocked the acquisition), saying that these deals were just to get the acquisition cleared. It is safe to assume that they made their decision after reading that email.

#16 — Phil Spencer had already decided in 2021 to make ALL Zenimax games exclusive

This is despite reduced accountability margins.

c5dpD2gIgP69xl32fttpK4hrEparFGJZrx4AwNVMR28AF_lebPyzqZOKvUJ_zdx7lqAQF8amwiRK6yQa560qRZxMk2H7QxMRhpx2zHNaH-sAAPp2Oar4fG6x9NaT-4mHr9y13rdg8aKdHOMmAlF-gAo

Despite the decision already made, Phil Spencer continued saying that games will be decided “on a case-by-case basis,” including during the FTC hearing in the court.

Phil’s statement during the recent FTC hearing.

#17 — Phil stopped Tim Stuart from publicly saying that all Zenimax games would be exclusive

The above “conversation” that Phil is referring to is this interview by Tim Stuart at the Jeffries Interactive Entertainment Virtual Conference:

https://www.ign.com/articles/xbox-bethesda-first-better-best

#18 — Phil Spencer lied in court about Elder Scrolls 6’s exclusivity

Hx_24qHBl8Wq93SdydX5F2jZ9c53nScXPIwilfiMnyzkzSkObOeew46MuNfcYRXqnUGjEyEUc3uDKCMHQGCfO7ezycLPm_Uvp6FvELWIdLXWVK6TRz4Pa4eRJTx6h_7CjXtAn9FQGx7WWh5WUu23m3o

FTC lawyers later read Phil’s prior deposition in which he confirmed that Elder Scrolls 6 had been internally confirmed as an exclusive.

#19 — Microsoft wanted to make Minecraft Dungeons exclusive to Xbox

VdLGNlJsmC9_IkggxLL9QN5u-DgY257iBrPi8WhD1wUHGdE2Vc-qaG6WSXDgAuOum61ATOPnEFwlN2SlcPEGt9QB-M-ACxNXO3p5sRHK4J4hgfuhAbDjffv0V46T9fMfMPOuN8LOKBc6tIOf_5FLaQI

Phil’s internal email, read in court, showed that he was “frustrated” that Minecraft Dungeons is multiplatform because of the original contract.

He asked his team to “find ways” to make it exclusive.

Xbox CMO emails Phil, “This [Minecraft Dungeons] should be exclusive.”

Phil replied, “I agree.”

#20 — Phil Spencer on Xbox fans evangelizing xCloud

-L0FRoj96M_w2VyiGss2ycwJ53WRa72t9LTZu1IEgXs1_29s9NQ1w7FntXjyZesag-TlsqnbDiU6TXdvmJDHlp4Z7IKfg_slyBpNsQfkmy9K6mDezt5WAoDZAeBgZgiTRxQNPVUIv6ujsVw2YxxF03M

FYI - Evangelism is an old Microsoft strategy back from the very early 2000s. Microsoft created evangelizing teams and shared internal company memos [highly confidential] which explained that "Evangelism is War."

You can read the highly confidential internal memo in full here: https://antitrust.slated.org/www.iowaconsumercase.org/011607/3000/PX03096.pdf

Here are a couple of screenshots:

#21 — Microsoft amended the contracts to make Indiana Jones exclusive

-MBu2G8YXwHBpa447qe3vnKvXO1boppwpwwjCMd-kB8i0gX0muiO9vkGkWIg5hCN5SHHOvX3XJgVQokKOBtJIKbJzYJGoxs2Nw76P61T6m4zCrYZLJSgXCYh6pzR647Gx4Rs4EPqKc0yOuyxqClQ48g

The original contract between Disney and Bethesda included PlayStation, Xbox, and PC.

After Zenimax’s acquisition, Microsoft reached out to Disney, amended the contract, and made Indiana Jones exclusive to Xbox/PC and removed PlayStation.

#22 — Microsoft has already considered making Activision games exclusive.

65pja4zctvkUWfe1RQ_tsJefFph0whT8KZQxScbfAflNFCvHiQt0-HCq-j6ZMcXG974ER8bbiym98IFGkFYcJKm-ClgKZEqfqWvCb-sURlMz2FSXceK7y9V6x2b7HZqyQfntZFtbTg9EZUSZl1GNids

In addition, the internal emails also revealed that Tim Stuart was working on an analysis model that measured how much revenue Activision would lose if we made ABK games exclusive and the potential increase in Xbox console sales and Game Pass subscribers needed to offset that revenue.

#23 — Xbox missed its revenue target by over $780 million.

3SyZE7xtEpjfrFLfeJq6tL7KqVLRPjYUp94IuP7Q7NTBju0rsi_DLRLV81a8xg4RfI41NvxJq9U2F27rBlQdkMJ_0tZKAXE1diTDVWYpdyxYDiMSRhHQbYn2FoTEsBO_t6Sq92WgwzToCnOpJFciT8U

Phil Spencer also confirmed that the Xbox division is not meeting its internal targets.

And the business is not strong.

#24 — Phil Spencer proposed the idea of shutting down Xbox, in 2019.

Also calls Xbox “Polaroid.”

#25 — Of all consoles sold in 2021, Xbox had a 16% market share

#26 — Phil Spencer’s email on August 26, 2022, rang “alarm bells” for Jim Ryan

Here is that complete email exchange between Jim Ryan and Phil Spencer.

#27 — Jim Ryan told that Phil Spencer offered Sony only old and select new games as part of the ABK agreement

According to Jim Ryan, Phil Spencer sent a list of games that Microsoft would keep multiplatform after the acquisition, but that list was “inadequate” and only had “old games.”

According to Jim, Overwatch 1 was included in that list, but Overwatch 2 was not.

This goes against their regulatory arguments that Cloud gaming is only a feature and not a separate market.

#29 — Satya Nadella also called Cloud gaming a separate market

From Satya Nadella’s testimony in court.

#30 — Microsoft’s leadership discards Nintendo when looking at Xbox's success metrics

FYI — SLT refers “Senior Leadership Team” that includes top executives such as Satya Nadella, Phil Spencer, Amy Hood, Tim Stuart, and Sarah Bond.

#31 — Microsoft did no strategic or financial analysis before making the Nintendo COD deal

Xbox CFO Tim Stuart confirmed this.

iK2lAZE.jpg

[Tweet backup]

This was interesting because (1) Microsoft was advertising COD’s availability to 150+ million gamers, and (2) Microsoft told the courts that they select platforms and exclusivity of each title based on detailed strategic and financial analysis.

#32 — Microsoft did not consult Activision before making the Nintendo/COD deal, Bobby Kottick revealed

wwGOK1L.jpg

#33 — Microsoft tried to buy “Zynga.” Take-Two purchased Zynga later.

Phil Spencer said that they thought they need someone even bigger. That’s where Activision-Blizzard-King came into the picture.

#34 — Microsoft agreed to 80/20 revenue splits for Call of Duty

Instead of the usual 70% revenue, Microsoft agreed to give ABK 80% of revenue on every COD game sale on Xbox.

Microsoft did so because they thought it was “critical to get Call of Duty on Xbox.”

#37 — Kottick regrets not bringing COD to Switch

https://www.theverge.com/e/23541088

After watching the prototype, Kottick didn’t think Nintendo Switch would be a big success. “I made a bad judgment,” Kottick said.

Kottick intends to change that and bring COD to Switch 2.

#38 — Kottick is open to bringing COD to Switch and Cloud without Microsoft

Or is it just one of Phil's balls in my throat?

Call of Duty exclusivity never mentioned amid takeover of creator - Microsoft chief

p9u7yrQ.jpg

I wanted to include this but this was debunked after Tim Stuart's testimony. The board requested ABK exclusivity and revenue analysis, and Tim Stuart confirmed running that analysis and sharing that data with the board of directors.

Damn I didn't know half of that. So much was being said that I missed most of it.
That is the idea behind creating this thread. The hearings and the ABK mega thread moved too fast. And there's lots of stuff that we may have missed.

Having all stuff in one place for posterity and references would be very useful.

That was excellent, thanks!
Thank you sir!

I mean just c'mon at the point. Hope someone with strong spine asks Phil about all these contradictions whenever they get a interview.
Oh, I so wish that. Unfortunately, the gaming industry media is either too incompetent, too scared, or too compromised.

I can bet my left and only nut that they would never ask any of the tough questions from any executive, let alone Phil -- at least until he remains in charge of Xbox.

OP, aditional info:

The user KnittedKnight (from IconEra) found this:
The tenets of corporate evangelism appear to still be alive and kicking at MS. Thanks to recent revelations in the FTC case against the ABK/MS merger we got a glimpse of that.

Referring to xCloud Phil Spencer, head of Xbox said: “If we can get them (hardcore Xbox fans) to love it they will evangelize,” he wrote.
https://www.ign.com/articles/the-ftc-trial-unmasks-xboxs-ambitions

For any of you not familiar with Microsoft Evangelism: "Evangelism is War" please take a look at this MS internal memo, referenced on an anti-trust lawsuit dating back 2 decades ago:

https://antitrust.slated.org/www.iowaconsumercase.org/011607/3000/PX03096.pdf

There are many aspects and tenets to Microsoft Evangelism but of relevance, it purports creating a cult-like legion of supporters and followers, VIP or otherwise that promote Microsoft products and monopolistic practices with a cult like fervor - that regards MS competitors, direct or indirect as war participants that must be extinguished by any and all available means.

MS Evangelism is literally a philosophy of corporate religion, where the consumers, specially the hardcore, are the faithful, and guided by faith to the altar of Microsoft and its products. Microsoft being the church while microsoft employees and vips are the clergy.

"Our weapons are psychological, economic and political." - Effective Evangelism, Microsoft Confidential, 1 of 4, paragraph 2.

Xbox Ambassador program, media VIP outreach and access etc is all part of creating this core of fanatical evangelism towards Xbox and potential platforms like xCloud. It should then not surprise the coverage that the FTC trial is receiving by the "media", or how particular forums with compromised moderation staff are resorting to censorship and hive mind harassment not only to shut down dissension or opposing voices but also to promote Microsoft's cause.

Clearly a source of inspiration for MS are the grifters using Christian Religion under the "TV Evangelist" banner to create cult like, for-profit "churches".

All of this is morally and ethically repulsive and plain wrong.

I know this is an Xbox hate circle jerk but I just want to say, why would a list of ABK games that MS would keep multi platform include a game like Overwatch, which is dead and no longer playable? Maybe by “Overwatch” MS just meant like, the only version of Overwatch that is playable 🤷‍♂️

✌️
Why would that be your first conclusion when the post is merely stating all reported facts with sources, links, and images?

And I could be wrong as I don't play it, but isn't Overwatch 2 a separate SKU? If it is, then it makes total sense that it should be added as a separate game.

Was the list sent prior to it being delisted? MS would have had to be very specific with the games they include on that list.

One technical suggestion, Heisenberg007 Heisenberg007 , you may want to include image backups for tweets, since tweet deletion is a common occurrence. Would be good for thread posterity. When tweets are nuked, most people don't happen to keep backups unless it's someone ultra famous, so the info tends to be lost for good.

Thanks for all the work OP, great collection of information. It's important to get everything paid out clearly for prosperity sake I believe, even if I personally have no qualms it doesn't mean the evidence should be hidden.

What I am most intrigued by is how the CMA came to their decision with this data? I guess, like they said, console SLC is too great of an impact to Microsoft if Activision went completely exclusive i.e. CoD on Xbox only. So no matter the background discussions, it still makes no market sense to do so, hence cloud focus.

I actually have taken screenshots of all the tweets and saved them in my private G-drive folder. As a backup.

I thought about adding images (instead of links to Tweet) in this thread, but then the tweets themselves added more transparency and additional context because of the preceding and following tweets. I'll try to find a middle-ground.

One request: if you know of any popular YouTubers, influencers, or gaming media journalists, please share this thread with them. The thread will gain traction, but, more importantly, some of this news might be covered more adequately by some publishers. Thanks!
