Interesting decision. I agree with it on different grounds, but MS did stress that the reason why they pursued the deal was mainly to set them up for cloud gaming. Looks like the CMA made the decision to block more on foresight; they predicted that the future of gaming would be more dependent on cloud and that MS was setting themselves up to be completely dominant in the new market. Interesting enough, Sony is also a competitor in this area as well, along with others.

The CMA aren’t going to budge.

And trying to unpick the UK market would be prohibitively expensive even for Microsoft. And that’s if the EU and US don’t follow suit… which they probably will.

This deal is dead.
Also, the uk is the only other market that gives a shit about xbox, so any such move would be putting a he'll of a lot of stock in people ditching playstation in other countries which they argued wouldn't happen anyway.

And now you can't get any Activision game on any cloud gaming service whatsoever. A win for the consumers.

Also, someone will have to be the market leader, who stopped anyone else from becoming one in the cloud gaming space or the subscription services? And now they're getting punished for it? How does that make any sense.
If the "150M devices" becomes a viable market then there is no reason why Activision would not offer it on cloud services. They can even broaden it to other providers on other non-MS supported devices.

Rap Song:

(Verse 1)
Yo, listen up, here's the news of the day,
Microsoft and Activision in dismay,
Thought they'd merge, make a gaming craze,
But CMA blocked them with their regulatory maze.

(Chorus)
Aaron Greenberg, Phil Spencer, feeling the heat,
Lulu Cheng Meservey, investigating the beat,
CMA said, "Hold up, not so fast!"
Put a halt to the deal, made it a thing of the past.

(Verse 2)
Greenberg had plans, Spencer had dreams,
But CMA said, "Not as easy as it seems,
We're here to regulate, keep things in check,
No merging giants, without a thorough check."

(Chorus)
Aaron Greenberg, Phil Spencer, feeling the heat,
Lulu Cheng Meservey, investigating the beat,
CMA said, "Hold up, not so fast!"
Put a halt to the deal, made it a thing of the past.

(Bridge)
Now gamers wait, with curious eyes,
What's next for Microsoft, what's the surprise?
Will they try again, find a different way?
Or accept the decision, and call it a day?

(Chorus)
Aaron Greenberg, Phil Spencer, feeling the heat,
Lulu Cheng Meservey, investigating the beat,
CMA said, "Hold up, not so fast!"
Put a halt to the deal, made it a thing of the past.

(Outro)
So here's the tale of Microsoft's big plan,
Blocked by CMA, ain't that a span?
But hey, don't fret, there's still much to see,
In the world of gaming, it's always a spree!

This is interesting.....

"When appealing the CMA’s substantive decision in a merger case, a judicial review standard applies, meaning the applicant must show that the CMA acted irrationally, illegally or with procedural impropriety. The CAT will not engage with the merits of the CMA’s decision or conduct a wholesale review of the parties’ evidence. In practice this means that applicants face a high threshold when seeking to overturn a merger decision, which is reflected in the statistics: the CMA has won 67% of all merger appeals since 2010."

Yeah, they won't win any appeal, which is why Nvidia didn't try one.

Wow, what a crock of BS. Ms bent over backwards and did everything they wanted. Now they block it over the potential of a cloud gaming issue? The deals that MS/Activision signed with those cloud gaming platforms are now dead and none of them get the games. What sense does that make. They keep protecting Sony at all costs and this is ridiculous

Honestly man, I really highly doubt that a trillion dollar company's buyout will get blocked. Microsoft is sitting at a trillion for a reason. Do people really think that a company that got to trillion dollars don't have super elite lawyers or financial advisors that haven't warned them or advised them of what might happen and how they need to react and move on if Scenario A, B, or C happens ahead of time? Come on lol.

Sooo....

If that's the case then those deals are very much insincere.

True the rest of Europe and Japan seems to be a massive Playstation/Nintendo stronghold. I think one of the reasons is how well Xbox 360 did in the UK. I remember back in the day everyone (including myself) had a 360 and it was borderline uncool to have a PS3.

So what happens if it goes through in US and or EU? What happens then?
Pretty sure in the deal says depending on. Uk, eu, us and China's approval.

So the deal is dead. You could argue ms could pull out of the uk, but you'd be an idiot.

Gaming doesn't make ms profit, the shit that the uk does buy certainly does though.

All of which is pretty much tax free as they pay virtually nothing in uk tax.

Would be a case of cutting off your nose to spite your face and definitely won't be happening.

So Microsoft will appeal now and that appeal will be reviewed by CMA in the end and they still have final word? Is that right?

If Microsoft actually does try to appeal this, that appeal could take up to 9 months just to be heard. If the CAT agrees that the CMA acted irrationally or made a mistake somehow, they'll send it back to the CMA and ask them to review and correct where they didn't do something properly. That will obviously push this process beyond the July deadline for the deal. It's also not likely that the CAT will find fault in what the CMA did and it's also not likely that even if they do that the CMA won't just reach the same conclusion. Microsoft is looking at another year to battle this and likely lose. That assumes Activision's board doesn't just pull the trigger at the deal deadline and demand their free $3 billion

huge mistake. Just cut your losses and move on.
I guess there is a chance that Microsoft does give up eventually. I'm still surprised at how quickly Nvidia gave up on the ARM takeover. At the time it seemed like they were dead set on the acquisition no matter what.
