Elon Musk terminates his Twitter deal

The downside of this deal falling through is the end of liberal tears that were flowing from Twitter employees who were upset that their safe spaces would be intruded upon and that they would have to leave their house and go to work again.
They are going still be crying when their stock is worth nothing.

The point is one’s not really caring about free speech if all one is going to do is create an alternative that’s aligned with their own agenda. It would be a principled stance to create an alternative platform that allows all points of view in the name of free speech, even if the creator disagreed with it. It’s not principled to create an alternative platform that’s just their flavor of echo chamber. The fact that the alternatives that have cropped up have just been banning people left and right for not falling in their ideological line shows it isn’t a principle of free speech at play, it’s just “their speech” they want to promote.

The fact of the matter is Twitter sucks and there’s no perfect solution to that. Anyone promising unfettered free speech online is going to crumble the moment someone starts posting a bunch of bullshit they can’t abide. That’s just the way it is

How have the Twitter alternatives promising free speech worked out…oh right, they’re just ideologically aligned with whomever started them too.

I’m not saying Elon would do this to Twitter if he owned it but the track record of the competition touting “free speech” hasn’t been too great.
Those alternatives haven't gotten government blessing like the major silicon valley companies so they don't get as big for one.

Secondly none of them would be echo chambers if they were the number 1 platform because they don't ban people for "wrong think."

Again I didn’t say Elon would be exactly like the alternatives once he took over, I’m just saying the track record of the alternatives hasn’t been very promising. I have yet to see this. Provide some examples. I see Gab, etc, have both sides sharing their memes and lunacy with no bans. Heck, there is a very popular well know "other side troll" that has been active since day one, no bans, nothing.

As long as the obvious rules of not posting illegal shit.

Nah I call bullshit on that. I've seen them on alternatives. You will get mobbed(like you will on Twitter) for going against the grain but won't be outright banned.

What Twitter alternatives ban individuals that espouse progressive political opinions?

I don't use any of these platforms, but this is the first time I've seen this asserted.

Well the main attraction comes to a close. Now will be years-long boring legal proceedings as Twitter and the SEC attempts to get him to pay up. Or maybe they'll just pursue the one billion dollar fee from him for breaking the deal and call it day.

I bet sooner rather than later Musk will slip up and tweet some political falsehoods and get suspended or banned.

In short, Twitter has not provided information that Mr. Musk has requested for nearly two months notwithstanding his repeated, detailed clarifications intended to simplify Twitter’s identification, collection, and disclosure of the most relevant information sought in Mr. Musk’s original requests.



While Twitter has provided some information, that information has come with strings attached, use limitations or other artificial formatting features, which has rendered some of the information minimally useful to Mr. Musk and his advisors. For example, when Twitter finally provided access to the eight developer “APIs” first explicitly requested by Mr. Musk in the May 25 Letter, those APIs contained a rate limit lower than what Twitter provides to its largest enterprise customers. Twitter only offered to provide Mr. Musk with the same level of access as some of its customers after we explained that throttling the rate limit prevented Mr. Musk and his advisors from performing the analysis that he wished to conduct in any reasonable period of time.



Additionally, those APIs contained an artificial “cap” on the number of queries that Mr. Musk and his team can run regardless of the rate limit—an issue that initially prevented Mr. Musk and his advisors from completing an analysis of the data in any reasonable period of time. Mr. Musk raised this issue as soon as he became aware of it, in the first paragraph of the June 29 Letter: “we have just been informed by our data experts that Twitter has placed an artificial cap on the number of searches our experts can perform with this data, which is now preventing Mr. Musk and his team from doing their analysis.” That cap was not removed until July 6, after Mr. Musk demanded its removal for a second time.



Based on the foregoing refusal to provide information that Mr. Musk has been requesting since May 9, 2022, Twitter is in breach of Sections 6.4 and 6.11 of the Merger Agreement.



Despite public speculation on this point, Mr. Musk did not waive his right to review Twitter’s data and information simply because he chose not to seek this data and information before entering into the Merger Agreement. In fact, he negotiated access and information rights within the Merger Agreement precisely so that he could review data and information that is important to Twitter’s business before financing and completing the transaction.

As Twitter has been on notice of its breach since at least June 6, 2022, any cure period afforded to Twitter under the Merger Agreement has now lapsed. Accordingly, Mr. Musk hereby exercises X Holdings I, Inc.’s right to terminate the Merger Agreement and abandon the transaction contemplated thereby, and this letter constitutes formal notice of X Holding I, Inc.’s termination of the Merger Agreement pursuant to Section 8.1(d)(i) thereof.

He took on massive loans to fund the twitter deal, made deals with large prominent shareholders to turn their shares private, and signed the dotted line to buy the company.

The idea he'd embroil himself in yet another SEC quagmire as a troll is just really far fetched.

He just wanted out the minute his Tesla shares tanked.

Well, there's a chance some Tesla shareholders will sue him. His self-inflicted childish drama helped drag down their stock values. It's down about 30% since the saga began. The bear market can't account for all of that, and it only dropped 9% following his announcements for cuts and a hiring freeze. Will the shareholders have a case? Maybe, but it would be a spectacle either way all the same.

THEY did not fail to complete the sale. They unanimously approved it.


This is on Musk. He has been laying out excuses and tried to weasel this way out of following through for weeks and weeks.

You can easily Google the alternative sites plus bans and find coverage of it. I’m gonna refrain from posting it and getting too far into it because of the rules, but it’s kind of baffling to me that somehow people here haven’t heard of this when it’s been happening from day one. Gab in particular is some super hardcore Christian dude, you can guess how far free speech goes there. “Truth” social…well…hah…

Elon Musk wasn't happy with the way Twitter analyzed their own fake account numbers, probably a lot more bots on that website than we think, and Twitter was lying about it. Gonna be interesting to see.

No, he just made that up. First, he waved due diligence when he agreed to buy them at his announced price - in fact, he mentioned the supposed bot problem as a reason he wanted to purchase the company in the first place. In his words he wanted to fix it. So that's all on record. He only leaned into it and started making up figures when it became apparent the deal wasn't working in his favor, he would lose money, and could not simply buy his way onto the board as he has done with other companies.

And finally, in court he would have to prove this. Twitter doesn't have to prove anything. He made the allegations. He would have to prove that they materially lied or misled.

Too many people are letting Musk tell them a story / narrative and are going along with it. To those I say: stop letting him treat you like a fool and guide you by the nose. He's a compulsive liar.
