Anyone mind explaining how counter breaks and getting locked out works?

When combo breaking you have to hit both attack buttons of the same strength of the attack you are getting hit with if you fail you get locked out. Counter breaking is when the attacker hits both mediums when he thinks the defender is going to try a combo breaker. If it succeeds then he counter breaks and the other person is locked out (which means he can't attempt to break for an amount of time)
