I'm still having a hard time understanding why they just don't extend the deal? If everyone was so into the acquisition and they're this close why not push the timeline and the breakup fee out a bit? Something doesn't add up.
May very well happen on July 19.

But I do have a feeling that ABK will not be easy. They will at least demand more money from Microsoft; they really have them by the balls at this point. They can be very, very unreasonable and get more money from Microsoft.
 
A lot of the confusion can be blamed on those initial CNBC ('press' owned by Microsoft, by the way) reports that the CMA approached Microsoft groveling for a deal and they reached an agreement, only for the CMA to clarify the next morning that no such thing had happened and MS was groveling. It seems that a lot of reporters are still running with the CNBC narrative which makes all of the information we are getting look so contradictory and whiplash inducing.
CNBC is owned by Comcast.

from what I can tell, it lies in the fact that on the 18th ABK is able to walk away with a cool 3 billion extra pocket change. They could make 15 AAA Sony moviegames with that amount of money

Do we have any idea what the CMA order was?

It's referring the original order in April when they blocked the deal.

There is nothing about the new proposal in there other than that they are considering it.
 
Oh I know, they can extend, but publicly they've pushed the 18th as a hard date.
Actually, yeah, I forgot about the court hearing. I do think that was a bit to get the judge's sympathy, but they did say this during their testimony that if the deal isn't closed by July 18, it will be dead.

Of course they would, but that's just negotiation. You could throw them another billion in overall value to agree to an extension. People don't understand how incredibly expensive it is to do M&A work around due diligence and other compliance areas. It probably cost them half a billion to get the paperwork ready. That's why I'm confused why there wasn't a normal extension.
 
I posted this yesterday. M&As is one of the many reasons why stocks are delisted from the index fund. Remember that this is just an index fund, not the Stock Exchange itself (which would have been the real deal).

And December isn't the only month NASDAQ rejigs their funds. They just announced a few days ago that they'd be rejigging this very fund.

I had a friend who's supposed to be all in stocks saying this and I was just confused. How can you follow the stocks so closely and not know some basics?

Denied in the lower court. The denial was appealed to the 9th Circuit Court of Appeals. FTC is asking 9th Circuit to keep a restraining order in place. Everyone is waiting to see if 9th Circuit acts at all, temporarily blocks a closing, or refuses to block anything. Failing to act would be the same as refusing to block on effect.
 
To be fair, the founders would probably consider 95% of the current Federal Government unconstitutional. Particularly the Executive Branch power.

Well.........to be honest there are a lot of things they were okay with too, that rightly are unconstitutional today. So it's not like they were the enlightened ones if we have to choose between them and our leaders today.

We now wait for the 9th Circuit Court to decide if they will hear the appeal
 
I need to do actual work, but things could get spicy in a few minutes. It's about 815 on West Coast. Clerks are probably reviewing overnight submissions for docketing. I would think MS filed responses overnight to make sure the court has them before anyone looks at FTC motion. So might get MS responses very soon.

Historically speaking the FTC has a terrible track record in preventing "mergers" like this

I THINK the Appeals Court denies hearing the appeal especially depending on who the Judges are

And no before anyone asks I don't KNOW anything new, have been quite busy recently but still haven't seen anything that changed my mind

As it stands, shareholders will be pretty much breaking even since the stock is close to the purchase price per share. Something to consider, possibly.
 
I never actively ask them pointed questions, probably why I remain friends with them ;)
I can presume if they work for one specific company they can be always in a "we will in this" confident mood.. that not always translate to what is going to effectively happen... just like the first CMA block I would think

Really feels like this isn't getting done by the 18th.

Which leaves all the cards in Activision's hands on how they wish to proceed. They have the leverage to get a better deal or simply bow out

What's involved in pulling out of the deal with MS. Basically who all is involved in the decision. If it's just Bobby I don't see this going past the 18th.

Haven't changed your mind meaning it's getting approved?

I do wonder if ABK will extend or not and if we will have rumors about that

I mean yeah, this is about MS's response to CMA blocking the deal isn't it?

This is basically the stuff the CAT trial would be about, if it hadn't been postponed.

Separate from the re-submission of a new deal, that is going to happen imminently.


We already knew MS didn't like being told they can't buy Activision for at least 10 years ROFL

They are extending the time for responding to the original order which is also giving them time to figure out this new re-submission and how that will work.
