The $69 Billions deal just got approved by CMA

If you think the changed financials for the extension was just given out of the kindness of Microsoft's heart I don't know what to tell you. Bobby didn't walk away but he certainly reminded them that the pot needed to be sweetened.

No one said it would be done out of kindness of anyones heart, its a massive business deal, not an HBO show where Bobby would have made a grand stand and walked out of the office at 12 : 01.

I know Succession is over, but come on, lol.

anyway now the deal would be done and finished right? I don't think activision wants to go out anymore and maybe now it's unable to do it with the extension.
the official announcement will be in August/September?

ABK is paying a $1 per share dividend to every shareholder and they're using MS money to fund that effectively - I mean they got approval from MS to use ATVI money to pay that dividend.

That money would ordinarily have sat in the bank waiting for the acquisition to close and MS would have got it.

But there's only 736.5 million shares so that's the limit in dollars.

Bobby's a business man. I'm sure he knows how to handle himself while making deals. He's getting paid no matter how this plays out. The threat of walking away had to be pretty heavy over the past few weeks. I didn't think he would take the money and run but I guarantee that that would have been the outcome if Microsoft didn't agree to some sweeteners.

Wasn't the idea with the CAT, that the cma and MS had something worked out?

I can only imagine how mad he would be if they didn't reach something.bhe seems to think the cma was making fools of themselves.

I can't see this not working out pretty quickly.

I meant the source on the $95 billion dollar rumor. That is an interesting detail, though.

The hold separate part to allow them time to review the revised deal, once agreed by the CMA, should be enough to remove their order against the purchase I would think. Good chance this closes pretty quickly under those terms, but with a slightly different situation for the UK until that gets approved.

Inching closer. I'm glad they cleared it up today. The speculation would have been unbearable.

Kotick also stated under oath that he doesn't believe in the GamePass strategy, which is a pretty stinging rebuke to Spencer's approach and not one that suggests he'll stick around any longer than contractually stipulated post-merger.

There has been no news about the price of the deal going up, the only thing that's gone up is the break-up fee if either party decides to break off the deal after October 18th.

Could they actually change the price tag and have it still be considered the same deal? I read it like the price increase for shareholders is the $1 per share dividend. Basically however many shares are outstanding x $0.99 is the effective price increase.

My man, this is a hilarious thing to say in light of your posts in the last couple of pages.

Relax. Don't start pointing fingers at others.
I'm still waiting for your answer on this...
You felt the need to be defensive for whatever reason made accusations but when asked for proof you pretend nothing happened.

I'm still a firm believer that Bobby stays with Xbox. He is leaving on his terms and not a second earlier.

Ex dividend date for the $0.99 per share.

Essentially anyone who owns shares on that date at the time of market close will be entitled to the dividend which will be paid on the 17th August:

Bobby has 4 million shares. Not a bad pay day for him for about 4 pages of agreement…

He should kick some of that to the CMA as a sweetener.

Him stating on the record his concerns about it being "value destructive" I'm sure wouldn't have gone over well. That was a potentially damaging piece of testimony.

Thirty7ven Thirty7ven , FYI the dividend payout and raising the termination fee proves the original deadline was real like I was trying to explain earlier.

It being real wasn't being disputed, what's being disputed is how MS and Corley both presented the situation as if the deal couldn't be extended.

It has been extended. Yes, the FTC could've and should've done a much better job, but the way the deadline was used to rush the hearing trial and ruling was wrong. All the talk about MS closing over the FTC and the CMA was also just smoke. Can't we acknowledge that fact?

It's not smoke. Each extension costs MS billions of dollars. As I was trying to explain, it's not 100% black and white. Kotick literally testified under oath that he was out if the PI was granted. Too much uncertainty.

CMA already has worked it out with MS, down to the date. And even that cost MS more money. Nothing about it is smoke when you see it laid out in text form with a price tag attached to each delay.

Holding ABK separate similar to Bungie (with Sony) wouldn't be that bad at all. If that's what actually changed their tune, then I can see why they're willing to accept MS' offer.

However, if they go with the lowest option available, then... lol

Good point. Given that streaming media is starting to really fall apart I don't know if his point of view is damaging as much as it is reality. Xbox needs a real leader that believes in milking people of every dollar instead of this socialist utopia called GamePass. :messenger_beaming:
