From what we’ve heard appealing CMA takes a long while. Which means we’ll hit the July 15 deadline.

What happens? Do the acti shareholders have to vote again?

That would be hilarious because the shareholders aren't dummies, they won't vote for a second deal. So realistically the deal really is dead regardless of public posturing or appeals or whatever, because they won't be able to complete the merger before the last deadline.

I disagree.

If I'm a shareholder I would agree to an extension to keep up the stock price and still leave open a chance at the higher stock buyout price.

Activision's stock hasn't really hit rock bottom yet.

If the EC rules against them it'll dip again, if they lose the appeal with the CMA, it'll crater.

An extension makes sense for Activision. It's Microsoft who might want to bow out, but they're on the hook for 3 billion, it's worth it to them to extend it for as long as os possible.

Why even take that risk though?

As a shareholder, I'd vote no. After July 18, the deal expires, and ABK receives $3 billion from Microsoft. That's 2 years' worth of ABK Net Profit!

The stock price shoots up again. And as a shareholder, I win.

Because (1) Microsoft's internal strategy documents claim that Nintendo is not a direct competitor, and (2) people do that in the context of ABK and COD because COD is not available on Nintendo.
Now in your opinion why would a regulator want to neglect Nintendo from the market definition?

Oh yes but to be fair she's not a Microsoft employee so they are not responsible for her behavior. Still crazy though and definitely not something I expect from someone in her position. Then again I didn't expect to see Phil say those things in that interview.

I guess we can agree that this whole deal affected some individuals on a personal level.

I mean think about it this way, she was primed to get 10s if not 100s of thousands of dollars in stock options and spot bonuses if this deal went through, and the alternative is she is probably the most likely individual to get canned when this is all over.

The dichotomy of this would probably drive a lot of people to extremes.

Imagine if I said, hey, if this deal goes through, you're going to get your house paid off vs if this deal doesn't go through you're out of a job?

Not defending her actions, she's played this poorly. Sony is Activision's largest customer/partner, you want to tread lightly in these situations.

That's going to be a tall order for Activision. If I'm Sony, I'm not doing any deals unless they sell the rights to Crash and Spyro, and sell Toys for Bob. The reality is Sony doesn't really need a new Activision deal.

Nah this is who she is, she was equally disliked when she was employed by Substack.

I mean, I just don't see what Sony has to gain from any deals with Activision at this point. If Activision wants reduced royalties to the tune of 10s of millions of dollars, they're probably going to need to give a lot in return.

PS5 is primed right now, it doesn't need any deals. Jim Ryan is entirely in the driver's seat there. He could say any future deal giving access to the 60 million+ consumers by the end of this fiscal year has to be tied to an exclusive deal for CoD or something.

I think more than likely, Sony and Activision make no future deal and Activision has no recourse but to get a deal with Microsoft for marketing, which amounts to basically nothing. Will cost Activision significantly, but at least they got the 3 billion dollars to ease that burden.

I'm not the best at stock info but yeah generally people sell when the stock value is about to drop, so buying would mean he expects the stock value to increase in the coming weeks/months. And MS agreed to buy at $95 share.

GHG GHG probably knows a lot better.

Maybe the EU approved the deal.
If they did, then this shit will get dragged for too long. Especially with SMAR decision being a wild card too.

Maybe there is a silver lining hope for this deal, even though it's dim.

Doesn't stop people from trying, because they think their situation is unique and overt. I never fully understand that mindset, because you are playing with literally millions of dollars so how the hell can that be overt?

Though, the purchase of $1M in stock could be off the back of Activision Blizzard's phenomenal returns in their last financial report. With Diablo IV also primed for release soon, and having such heavy windfall behind them on that specific title could see the stock rise. Or it could quite actually be them knowing something is up.

He is buying shares because he expects the stock price to increase. It could be for 2 reasons:
  • The deal goes through: MS purchases ABK at $95 per share. The guy is buying at ~$75 per share. So he earns a 20%+ gain.
  • The deal does not go through: The stock price does not hit $95. But he understands the financials of the company and also expects to receive $3 billion from Microsoft in the form of penalty, which will increase the stock price as well as the dividend amount.
Either way, I think this is smart. If this is not on options, he will almost certainly end up with some profit.
