LMAO there's a reason why the FTC isn't doing this, because it's dangerous. The current Supreme Court might just strike down all antitrust laws as unconstitutional or something. You never fuck with the Supreme Court unless you really know what you are doing.

Microsoft Corp. and Activision Blizzard Inc. are nearing the finish line on their $69 billion deal, but aren't likely to close it by a Tuesday deadline, people familiar with the deal said.

The companies don't plan to walk away from the deal and will continue seeking the final regulatory approvals needed for closing, said the people, who declined to be named as they were not authorized to speak publicly on the matter.

Microsoft and Activision declined to comment.


An April order from UK regulators bars the companies from closing the deal even though it has now received government approvals in 39 countries. The UK Competition and Markets Authority said Monday that it has held "productive" talks with the companies about a resolution, but the UK enforcer has so far maintained its veto while negotiations continue.

A violation of the UK order would lead to fines up to 5% of the companies' combined global revenue. British enforcers could opt to change their order to allow Microsoft and Activision to close outside the UK while keeping the companies separate in the UK.

The UK discussions are expected to take several days or weeks to resolve, and the CMA has officially extended its target date on the probe to Aug. 29.

The merger agreement set July 18 as the date at which both companies could walk away, with Microsoft bound to pay Activision $3 billion if the deal is terminated.

 
So the deal will get an extension. Microsoft isn't going to close over the UK.

They could be allowed to mostly consummate. UK will be stuck with just the tip.

I mean, you'd think MS and ABK would have already agreed to an extension by this point instead of waiting until the day before? Seems like Bobby Billions might want a bit more money

That is what's giving me pause here. I think Kotick wants to see if other companies are willing to match or exceed the MS offer (Comcast was rumored to be interested), and then see if he can't use it to apply pressure on MS.

None of this is necessarily a deal killer, but I genuinely wonder why they didn't re-up straight after the FTC win.
 
Every article says they're not walking away, especially when they're almost there with the final country.
I only ask and wonder because this has had so many ups and downs so far nothing would shock me, hell the CMA getting it all wrapped up before the business day wouldn't shock me either

The ups and downs have been on the government side of things. MS and ABK have been steadfast this entire time.

True but Acti was in such a worse place when they agreed on this, and now are on wayyy better footing, plus the headache from this and the CHANCE to walk away, I dont think they will but still

The fireworks aren't over yet. How much will Bobby extract? Or will he walk away? I can't see a man like himself wanting to sell out now that the market environment has turned.

No wonder Microsoft has had a huge last minute gaslighting campaign and FTC/CMA push....trying to make it to the 18th by any means possible and just came up short.

The only make believe thing is believing Bobby Kotick doesn't care about money and power and will just let this deal go through as quickly as possible to make Microsoft happy because he's a genuinely good guy and really believes the deal is best for the company (despite thinking it's value destructive)

No doubt there will be some very serious and uncomfortable (for Microsoft) talks over the coming days/weeks. Bobby holds all the cards right now. MS missed their date they were desperate to try and meet.

He wants to continue being CEO OR get a MUCH LARGER golden parachute. You can tell it by his comments made in May about the scandal. And now he has the leverage to do either. He holds all the cards right now.

Seems like everyone is for corporations breaking laws to get Free* games.

That's been one of the head scratchers of this whole thing. The total apathy from some about corporations in this industry breaking laws and their executives potentially lying under oath has been mind boggling. Thankfully I think some (hopefully most) of these people are permanent residents of the ban list.

I think that companies don't generally sell out when they're only getting around a 5-10% premium, and that's where we are today. If the deal fell through, stock price would trade low to upper 80s.

The situation right now is so much different for activision than it was in early 2022.

I think Bobby would prefer to retain ownership of the company or get a much higher price, yes. And he can likely do that.

To be fair he was saying he thinks Microsoft would have to offer up to like 120 a share which is a lot more than "a few dollars"
 
What kind of fireworks do you think we'll see? Most of the articles I've read indicate the two companies don't plan on abandoning the deal.

If they don't abandon the deal it means Activision got a sweetener for an extension. There's no reason why Activision wouldn't try and get more in some fashion (either MS directly or another company)

You could be right about the sweetener. Was just reading this admittedly light article, which was updated at 7:58PM EDT.


Just not sure those are fireworks; fireworks is them scrapping the deal...and holy shit at that notion. :messenger_tears_of_joy:
